This will confirm that The Render Network Foundation, a Cayman foundation and its affiliates (collectively, “TRNF”), will have and is hereby granted by the party agreeing to these terms (“Content Owner”) a worldwide, perpetual, sublicensable, assignable, non-exclusive, royalty-free right and license to use the content provided by Content Owner to TRNF, including without limitation, images, audio and biographical information (“Content”) to use, perform, display, transmit, modify and make derivative works using or based on the Content or any part thereof, on TNFR’s website and social media accounts and in TRNF’s marketing related materials The rights granted to TRNF are irrevocable, and Content Owner waives any right to seek or obtain injunctive or equitable relief that would affect any use of the Content by TRNF, it being agreed that the sole remedy of Content Owner is an action at law for direct damages. TRNF agrees to provide Content Owner with a credit in each use of the Content and may also use, in its discretion, the biographical information provided by Content Owner in accordance with this Content Consent and License. However, no casual or inadvertent failure by TRNF and no failure by any licensee or other third party to accord such credit will be a breach of this agreement, and the sole obligation of TRNF in the event of a failure to accord credit will be to exercise reasonable efforts to cure such failure following receipt of written notice thereof from Content Owner.

Content Owner represents and warrants that: (i) Content Owner has the right and capacity to enter into and perform this agreement, is the sole owner of all rights in the Content and no third party has any rights that would affect the rights granted to TRNF; and (ii) the use of the Content licensed hereunder will not violate any rights of any third party.
